MageMate is a trade name operating under Falcon Media, located at Brilweg 1, 9801 GC Zuidhorn, The Netherlands, registered with the Dutch Chamber of Commerce under number 72120134.
1. Definitions
In these terms and conditions, the following definitions apply:
- MageMate: the trade name operating under Falcon Media, located at Brilweg 1, 9801 GC Zuidhorn, The Netherlands, registered with the Dutch Chamber of Commerce under number 72120134.
- Client: the natural person or legal entity that enters into an agreement with MageMate.
- Services: all services offered by MageMate, including but not limited to AI assistants (chatbots).
- AI assistant: the automated chatbot service offered by MageMate that is placed on the client's website through a widget.
- Platform: the online MageMate dashboard that allows the client to manage AI assistants, view conversations, and follow up on leads.
- Widget: the configurable chat window embedded on the client's website.
- Website visitor: a third party that visits the client's website and interacts with the AI assistant.
- Agreement: any arrangement between MageMate and the client concerning the provision of services.
2. Applicability
- These terms and conditions apply to all offers, quotations, agreements, and services of MageMate, including the use of the platform and AI assistants.
- By using MageMate's services, the client agrees to these terms and conditions.
- Deviations from these terms and conditions are valid only if agreed in writing.
- The applicability of any general terms and conditions of the client is expressly rejected.
3. Offer and agreement
- All quotations and offers from MageMate are non-binding unless expressly stated otherwise.
- An agreement is formed when the client accepts a quotation in writing, including by email, creates an account on the platform, or when MageMate has started performing the work.
- Prices are exclusive of VAT unless stated otherwise.
- MageMate reserves the right to adjust prices during the term of the agreement. Price changes will be announced at least 30 days in advance.
4. Services and scope
4.1 AI assistants
- MageMate provides AI-powered chatbot assistants that can be placed on the client's website for automated customer service, lead generation, and information provision.
- Acknowledgement that AI is involved. The client expressly acknowledges and accepts that the AI assistant and any deployed specialists operate fully automatically based on artificial intelligence and may therefore contain errors. Answers may be incorrect, incomplete, outdated, inappropriate, or misleading. The client understands and accepts that this is an inherent characteristic of AI technology. MageMate expressly does not guarantee that AI-generated answers are always complete, correct, current, or appropriate. The client is responsible for checking, testing, configuring, and monitoring the AI assistant and specialists.
- The number of available AI assistants, conversations per month, and other features depend on the selected subscription.
- MageMate has the right to modify or update the AI models and technology underlying the service, provided that the core functionality is maintained.
4.2 Platform and dashboard
- The client receives access to the online dashboard for managing AI assistants, viewing conversations, and following up on leads.
- Login credentials are strictly personal. The client is responsible for keeping account credentials confidential and for all activities that take place under the account.
- MageMate reserves the right to block or remove accounts in case of misuse, fraud, or breach of these terms and conditions.
4.3 What is not included
Unless explicitly agreed otherwise, the following items are not included:
- Integrations with external systems or APIs, such as accounting software or CRM, unless included in the selected package.
5. Use of the services
- The client may use MageMate's services only for lawful purposes and in accordance with applicable laws and regulations.
- Prohibition on use for illegal or criminal purposes. The client is expressly prohibited from using MageMate's services, including the platform and AI assistant, on, for, or for the benefit of websites, products, or activities that are wholly or partly connected with illegal acts, criminal conduct, or otherwise unlawful behavior. This expressly includes, but is not limited to, websites or services that relate to or facilitate: the trade in or distribution of narcotics, weapons, or other prohibited goods; money laundering, fraud, scams, or phishing; child exploitation, human trafficking, or other sexual offenses; incitement to hatred, violence, or terrorism; infringement of intellectual property rights, such as piracy; illegal gambling; and any other activity that is criminal or unlawful under Dutch or European law. The client warrants to MageMate that its website(s) and underlying business(es) comply with all applicable laws and regulations.
- The client is not permitted to use the AI assistant to distribute unlawful, misleading, discriminatory, or otherwise harmful content.
- The client is responsible for complying with applicable privacy laws, including the GDPR, with respect to personal data collected from website visitors through the AI assistant. The client must adequately inform website visitors about the use of the AI assistant and the related data processing.
- MageMate is not liable for how the client uses or configures the AI assistant, nor for the consequences thereof toward website visitors or third parties.
- The client is not permitted to resell, redistribute, or offer MageMate's services, including the AI assistant, as a standalone service or separate product to third parties. The client may use the AI assistant as an integrated part of a broader service offering to its own customers, for example as part of a web design or marketing package, provided that the client remains ultimately responsible for the use of the services and compliance with these terms and conditions.
6. Availability
- MageMate strives for the highest possible availability of the platform and AI assistants, but does not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible.
7. Payment
- Subscription fees for AI assistants are charged monthly or annually in advance via Mollie, depending on the selected plan.
- Payment must be made within 14 days of the invoice date unless stated otherwise.
- In case of late payment, the client is in default by operation of law and MageMate is entitled to charge statutory commercial interest, increased by extrajudicial collection costs.
- If payment is overdue by more than 30 days, MageMate is entitled to suspend access to the platform and AI assistants until full payment has been received.
- The client is not entitled to a refund of subscription fees already paid in case of interim termination.
- MageMate is not obliged to refund any amount if the agreement is terminated due to breach of these terms and conditions, misuse, or fraud by the client.
8. Trial period
- MageMate may offer a free trial period for the use of AI assistants.
- During the trial period, these terms and conditions apply in full.
- After the trial period ends, the AI assistant will be automatically deactivated. The trial period will not automatically convert into a paid subscription. Continuation of the service is possible only by entering into a paid subscription.
- MageMate reserves the right to change the duration and conditions of the trial period or to terminate the trial period.
9. Intellectual property
- All intellectual property rights in the software, platform, AI technology, designs, code, and materials developed by MageMate belong to MageMate or its licensors.
- After full payment, the client receives a non-exclusive, non-transferable right to use the services for the duration of the agreement.
- The client is not entitled to copy, reverse engineer, decompile, resell, or make available to third parties the source code, platform, or AI technology without prior written permission from MageMate.
- MageMate reserves the right to use the collaboration as a reference in its portfolio and promotional materials.
- By using MageMate's services, the client gives MageMate permission to mention and display the client's company name and/or logo on MageMate's website(s) and in other online promotional materials as part of MageMate's portfolio and reference list. The client may withdraw this permission in writing at any time via hello@magemate.com, after which MageMate will cease use within a reasonable period.
- Content uploaded or entered by the client remains the property of the client. The client grants MageMate a license to use this content to the extent necessary to perform the services.
10. Liability
- Express exclusion of liability for AI errors. The client is fully aware that MageMate's services are based on artificial intelligence and that the AI assistant and/or specialists deployed by the client may make errors. MageMate is under no circumstances liable or responsible for errors, inaccuracies, hallucinations, inappropriate answers, or unintended outcomes produced by the AI assistant or specialists, nor for any damage arising from them. This expressly includes, but is not limited to: lost or missed revenue, missed sales, missed customers, missed leads or conversions, reputational damage, claims from website visitors or third parties, refunds to the client's customers, and all other direct and indirect damage. The client fully accepts these risks and bears responsibility for checking, testing, and monitoring the AI assistant and specialists.
- MageMate makes reasonable efforts to perform the agreed services to the best of its knowledge and ability. This is a best-efforts obligation, not an obligation to achieve a specific result.
- MageMate is not liable for:Indirect damage, including consequential damage, lost profit, missed savings, data loss, or damage caused by business interruption.Damage resulting from incorrect, incomplete, or misleading answers generated by the AI assistant.Damage resulting from incorrect or incomplete information provided by the client.Decisions made by the client or website visitors based on answers generated by the AI assistant.Damage caused by failures of third parties, including hosting providers, AI model providers, domain registrars, and external services.Damage caused by force majeure, including but not limited to internet outages, power failures, or cyberattacks.Failure to achieve certain search engine positions, conversion rates, lead numbers, or other performance indicators.Damage arising from the client's use of the services in violation of these terms and conditions or applicable law.Loss or damage to data, unless caused by intent or deliberate recklessness on the part of MageMate.
- Claims for damages expire if they are not submitted to MageMate in writing within 12 months after the damage arose.
- The client indemnifies MageMate against all third-party claims, including claims from website visitors, related to the client's use of the services.
11. Force majeure
In case of force majeure, MageMate is not obliged to perform any obligation. Force majeure includes, among other things:
- Outages at hosting providers, AI model providers, or internet providers.
- Changes to or termination of third-party services on which MageMate depends.
- Power outages, natural disasters, or pandemics.
- Cyberattacks or security incidents at third parties.
- Government measures that prevent performance.
If force majeure lasts longer than 60 days, both parties have the right to terminate the agreement without any obligation to pay damages.
12. Cancellation and termination
- Subscriptions for AI assistants may be cancelled monthly with a notice period of 1 calendar month before the next billing date.
- Cancellation must be made in writing, by email, to hello@magemate.com.
- Upon cancellation, access to the platform and AI assistants will end after the notice period.
- MageMate is entitled to terminate the agreement with immediate effect if the client acts in breach of these terms and conditions, acts unlawfully, or applies for suspension of payment or bankruptcy.
- Unilateral termination in case of breach of the terms. MageMate reserves the right, at all times, without prior notice of default, without judicial intervention, and without being obliged to pay any damages or refund, to unilaterally dissolve, suspend, or terminate the agreement with the client, in whole or in part and with immediate effect, if the client, in MageMate's sole judgment, does not fully comply with these terms and conditions. This expressly includes any form of breach, violation, improper use, or conduct contrary to the spirit of these terms and conditions, including use of the services for illegal or criminal purposes as referred to in article 5. In addition, in case of such breach, MageMate is entitled to block or remove the client's account, deactivate active AI assistants, deny access to the platform, cancel accrued credit, including referral commission, and not refund payments already made. MageMate is not liable for damage suffered by the client or third parties as a result of such dissolution or termination.
- Upon request and against payment of any costs, MageMate may provide an export of data. After termination of the agreement, data will be deleted in accordance with the privacy policy.
- Amounts already invoiced will not be refunded.
13. Privacy and data processing
- MageMate processes personal data in accordance with the General Data Protection Regulation (GDPR).
- To the extent MageMate processes personal data of website visitors on behalf of the client, MageMate acts as processor. The parties will enter into a data processing agreement where necessary.
- The client, as controller, is responsible for informing website visitors about the use of the AI assistant and the processing of their data.
- Please consult MageMate's privacy policy for more information about data processing.
14. Service level and support
- MageMate provides support by email and WhatsApp during regular office hours.
- MageMate aims to answer questions within 2 business days but does not guarantee response times.
- Incidents will be resolved as soon as possible, but MageMate gives no guarantees regarding recovery times.
15. Changes
- MageMate reserves the right to amend these terms and conditions unilaterally.
- Amended terms and conditions take effect 30 days after they are announced to the client.
- If the client does not agree to the amended terms and conditions, the client has the right to terminate the agreement as of the effective date of the changes.
- Continued use of the services after amended terms and conditions take effect constitutes acceptance of those terms and conditions.
16. Governing law and disputes
- All agreements between MageMate and the client are governed by Dutch law.
- Disputes will preferably be resolved by mutual consultation.
- If the parties cannot reach a solution, the dispute will be submitted to the competent court in the district of Falcon Media's place of establishment.
17. Referral program
- MageMate may offer clients a referral program through which they can refer new customers using a personal invitation link and accrue compensation for doing so.
- Only registrations that demonstrably originate through the client's personal invitation link and lead to an actually paid subscription invoice qualify for commission. Trial periods, outstanding payments, reversed payments, refunds, chargebacks, and fraudulent payments do not generate commission, and commission already granted for such payments may be reversed.
- Payment of accrued credit takes place only at the client's request, through the designated functionality in the dashboard and under the conditions applicable at that time, including a minimum amount, a valid IBAN, and an account holder name matching the client's account details.
- Unilateral changes. MageMate reserves the right at any time, without prior notice and without giving reasons, to make unilateral changes to the referral program. This expressly includes, but is not limited to, changing, reducing, suspending, or terminating:the conditions under which commission is accrued or paid out;the commission percentages;the method of calculating commission;the minimum or maximum payout amounts;the frequency, timing, or method of payout;the period for which a referred customer generates commission;the referral program as a whole.
- Changes take effect at the moment they are implemented and also apply to customers already referred and to future commission on existing referrals, unless MageMate expressly determines otherwise. Commissions already paid will not be reclaimed, except in cases of fraud, misuse, chargebacks, or refunds.
- MageMate is not liable for lost or missed commission as a result of changes to, suspension of, or termination of the referral program. The client cannot derive any rights for the future from participation in the referral program.
- MageMate is entitled to suspend or terminate participation in the referral program with immediate effect and to cancel accrued credit in case of suspected fraud, misuse, self-referrals, misleading or unauthorized promotional methods, spam, or breach of these terms and conditions.
